Service Corporation International Announces Pricing of Private Offering of $550 Million of 5.375% Senior Notes due 2024

HOUSTON, April 28, 2014 /PRNewswire/ -- Service Corporation International (NYSE: SCI) (the "Company") announced today the pricing of its previously announced private offering of $550 million aggregate principal amount of 5.375% Senior Notes due 2024 (the "Notes"). The Notes will bear interest at 5.375% per year and were priced at par. The Company intends to use the net proceeds from the offering, together with borrowings under its revolving credit facility and cash on hand, to finance the purchase, in previously announced tender offers, or the subsequent repurchase or redemption, of all of the outstanding 6.75% senior notes due 2015 and all of the outstanding 7.00% senior notes due 2019 of the Company and all of the outstanding 6.50% senior notes due 2019 of the Company's wholly owned subsidiary, Stewart Enterprises, Inc.

The Notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States only to non-U.S. investors pursuant to Regulation S.  The Notes will not be initially registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
